Terms & Conditions
1. Interpretation
1.1 “Company” means Banoze Ltd (trading as Banoze Tyres Wholesale), registered in England and Wales, with its registered office at 3 Downland Close, London, N20 9LB.
1.2 “Customer” means any trade individual, company, or entity purchasing goods or services from the Company.
1.3 “Goods” means tyres, wheels, automotive products, accessories, and any related products or services supplied by the Company.
2. Account Eligibility & General
2.1 Trade-Only Supplier: The Company operates strictly as a trade-only supplier. By applying for or creating an account, the Customer warrants that they are an active, registered automotive business. The Company reserves the right to request proof of trade and verify business premises before approving or maintaining an account.
2.2 Applicability: These Terms & Conditions apply to all sales, supplies, and services provided by Banoze Ltd unless otherwise agreed in writing.
2.3 Acceptance: By placing an order with or creating an account with the Company, the Customer fully accepts these Terms & Conditions.
2.4 Amendments: The Company reserves the right to amend these Terms & Conditions at any time without prior notice.
3. Orders & Pricing
3.1 Pricing Structure: All prices quoted or displayed are exclusive of VAT, which will be charged where applicable. All prices are subject to change without notice.
3.2 Availability: Orders are subject to stock availability at our regional distribution hubs (including London and Manchester) and final acceptance by the Company.
3.3 Cancellations & Errors: The Company reserves the right to cancel any order at its sole discretion, including but not limited to instances involving pricing errors, system glitches, or sudden stock discrepancies.
3.4 Product Descriptions: Product descriptions, images, and specifications are provided for guidance only and may vary slightly from the actual products.
4. Payment
4.1 Due Dates: Unless otherwise agreed in writing, payment is due in accordance with agreed credit account terms, or immediately upon invoice for non-account/pro-forma customers.
4.2 Late Payments: The Company reserves the right to charge interest on overdue accounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.3 No Withholding: The Customer shall not withhold, deduct, or set off payment due to outstanding disputes or counterclaims without prior written agreement from the Company.
5. Delivery & Claims
5.1 Delivery Estimates: While the Company aims for rapid fulfillment (including Same-Day Delivery options where available), all delivery dates and times are estimates only. Time shall not be "of the essence" regarding delivery contracts.
5.2 Risk: Risk in the goods passes to the Customer immediately upon physical delivery to the agreed premises.
5.3 Claims for Shortages or Damage: The Customer must inspect all Goods immediately upon receipt. Any discrepancies, shortages, or visible damages must be noted directly on the driver’s delivery note and formally reported to the Company within 24 hours of delivery. Failure to do so will invalidate any subsequent claim.
5.4 Delays: The Company shall not be liable for delivery delays caused by circumstances beyond its reasonable control.
6. Title & Ownership of Goods
6.1 Retention of Title: Legal and beneficial ownership of all Goods remains strictly with Banoze Ltd until full payment has been received in cleared funds for all outstanding invoices.
6.2 Storage: Until ownership passes, the Customer must store the Goods separately, protect them adequately, and clearly identify them as the property of the Company.
6.3 Recovery: The Company reserves the irrevocable right to enter the Customer's premises (or any premises where the Goods are stored) to recover Goods if payment becomes overdue.
7. Returns & Cancellations
7.1 Prior Agreement: Returns will only be accepted with prior written agreement and authorization from the Company.
7.2 Condition: Goods returned must be completely unused, in their original condition, and returned at the Customer’s expense unless otherwise agreed.
7.3 Exclusions: Special orders, bespoke items, or non-stock items ordered specifically for the Customer are strictly non-returnable.
7.4 Charges: The Company reserves the right to apply handling or restocking fees to any accepted returns.
8. Warranty
8.1 Manufacturer Warranty: Any manufacturer warranties supplied with the Goods shall apply and be passed on where relevant.
8.2 Statutory Limits: The Company does not provide any additional commercial warranties beyond those required under applicable UK law.
8.3 Exclusions: The Company shall not be held liable for defects or damage caused by misuse, incorrect fitting, improper storage, neglect, or normal wear and tear.
9. Limitation of Liability
9.1 Excluded Losses: The Company shall not be liable to the Customer for any indirect, consequential, special, or purely financial losses, including but not limited to loss of profit, loss of business, loss of opportunity, or labor costs associated with incorrect fittings.
9.2 Cap on Liability: The Company’s total aggregate liability under or in connection with any contract shall not exceed the specific price paid for the Goods supplied under that invoice.
9.3 Statutory Protections: Nothing within these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot legally be excluded under English law.
10. Force Majeure
The Company shall not be liable for any failure or delay in performing its obligations where such failure results from events beyond its reasonable control. These include, but are not limited to: natural disasters, severe weather, transport disruptions, strikes, industrial action, supplier/manufacturer shortages, pandemics, government restrictions, or major technical/network failures.
11. Data Protection & Compliance
11.1 Data Protection: The Company processes all personal and business data in strict accordance with its Privacy & Cookies Policy and applicable UK data protection laws (including the UK GDPR).
11.2 Modern Slavery: Banoze Ltd is committed to preventing modern slavery and human trafficking within its business and supply chain operations and expects its trade customers and suppliers to maintain the same standards.
12. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by, construed, and interpreted in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
